Terms and Conditions of Service

These Terms and Conditions of Service (the «Terms») govern access to and use of the StradiVault platform (the «Platform»), operated by StradiVault Ltd, a company incorporated in England and Wales under registration number 17037337, with registered office in London («StradiVault», «we», «the Company»). By using the Platform, registering an account or using the services offered, the user («User», «you») accepts these Terms in full. If you do not accept them, you must refrain from using the Platform.

1. Introduction and definitions

Key definitions: • «Notarisation»: the recording of a cryptographic fingerprint (hash) of a document or of data relating to the provenance of an instrument or the documentation of an event on the public XRP Ledger distributed register. • «Profile»: the User's personal page on the Platform, which may be made public at the User's discretion. • «User Content»: text, images, video, documents and any other material uploaded by the User to the Platform. • «Private Advisory»: the technical lutherie advisory service described in clause 5.

2. Nature of the service and current scope

In its current operational phase, the Platform offers exclusively the following services: (i) registration and management of a Profile; (ii) the Notarisation of instrument provenance and the documentation of events, professional and artistic activities; (iii) the Private Advisory service of a technical lutherie nature. The Platform does not, in this phase, offer any investment service, tokenisation of instruments, investment solicitation or financial promotion. Any reference to future tokenisation or investment functionality is purely illustrative and describes possible future developments, subject to the necessary regulatory authorisations. Such functionality is neither active nor available. The Company reserves the right to expand the services offered in accordance with the regulatory authorisations it obtains. The activation of any investment services will be subject to separate, specific terms communicated to the User at the appropriate time.

3. Registration and User account

To access the services, the User must register an account by providing truthful, accurate and complete information, and keep it up to date. The User is responsible for the confidentiality of their access credentials and for all activity carried out through their account. The User undertakes not to falsify their identity or impersonate others. The Company may adopt identity verification procedures and suspend or refuse accounts that breach these Terms. Requirements: the User warrants that they have the legal capacity to enter into a binding contract under the applicable law and are at least 18 years of age.

4. Notarisation service

The Notarisation service allows the User to record on the public XRP Ledger distributed register a cryptographic fingerprint relating to documents or data concerning the provenance of an instrument or the documentation of an event, a professional or artistic activity. User responsibility for notarised content. The User is solely responsible for the truthfulness, authenticity and accuracy of the data and documents they submit for Notarisation. StradiVault does not certify, authenticate or in any way guarantee the truthfulness of notarised content: the Company provides solely the technical means of recording the cryptographic fingerprint on the register. Notarisation attests to the existence of a datum at a given moment, not to its truthfulness. Irreversibility and public nature. The User expressly acknowledges and accepts that Notarisation, once performed, produces a permanent, public and immutable record on the XRP Ledger, which lies outside StradiVault's control. Such record cannot be amended, deleted or removed by StradiVault or by any other party. At the time of recording, the User gives express and specific consent to such irreversibility and public nature by means of a dedicated acceptance. Absent such consent, Notarisation cannot be performed. Correction of erroneous data. Should notarised data prove erroneous, the User may report and mark it as such («erroneous» or «rectified») within their Profile. Such marking does not remove the data from the XRP Ledger, which is technically impossible, but publicly signals its status within the Platform.

5. Private Advisory

The Private Advisory service consists exclusively of assistance of a technical lutherie, artistic and collectible-valuation nature. It does not constitute investment advice, financial advice, a solicitation of public savings or a financial promotion within the meaning of applicable law. Any reference to the value or appreciation of an instrument is to be understood in the context of the collectibles market and not as an investment prospect or recommendation. The Private Advisory is grounded in technical and artistic expertise in the field of lutherie. The assessments provided are professional opinions in the lutherie domain and do not guarantee any economic outcome.

6. User Content and licence

The User retains full title to and ownership of the Content they upload to the Platform. The Company acquires no ownership of such Content. By uploading Content, the User grants StradiVault a non-exclusive, royalty-free and limited licence to host, store, reproduce and display such Content solely for the purpose of providing and operating the Platform's services, including display on the public Profile where the User has made it public. This licence ceases upon removal of the Content or deletion of the account, save for what is technically permanent on the XRP Ledger. Prohibited content. The User undertakes not to upload, publish or transmit Content that: is violent, pornographic, obscene or otherwise contrary to public decency; incites hatred or is offensive or discriminatory on grounds of religion, race, ethnicity, gender or otherwise; is defamatory, disparaging or harmful to the reputation of others (in particular, the Platform is a space for professional recognition: it is not permitted to disparage, discredit or offend luthiers, musicians, collectors or other professionals); infringes intellectual property, industrial or other third-party rights; is false, fraudulent or misleading.

7. User conduct and breaches

The following conduct, among others, constitutes a breach of these Terms: • false attestation of the provenance of an instrument, which constitutes the most serious breach in view of the nature and purpose of the Platform; • the notarisation or communication of false, fraudulent or misleading data; • uploading Content in respect of which the User does not hold the rights; • use of the Platform for unlawful or unauthorised purposes; • falsifying one's identity or impersonating others; • any conduct that harms the Platform, the Company or other Users.

8. Enforcement procedure

In the event of a breach, the Company applies a graduated procedure proportionate to the seriousness of the conduct: a) Notice. The Company notifies the User of the breach identified, allowing, where possible, a period to remedy it. b) Suspension. Failing a remedy within the period allowed, or in the event of a repeated breach, the Company may suspend the account and the visibility of the Profile. c) Termination. In the most serious cases or upon repetition, the Company may permanently delete the account. Immediate suspension. In cases of particular seriousness — in particular fraud, unlawful activity or false attestation of provenance — the Company may suspend or delete the account with immediate effect, without prior notice.

9. Termination and data handling

The User may request deletion of their account at any time. The Company may terminate the relationship in accordance with the procedure set out in clause 8. Upon termination, for any cause: • the public Profile is removed from the Platform without undue delay; • the User's personal data is retained for the period necessary to comply with legal obligations, and in any event no longer than twenty-four (24) months, save for other statutory obligations, after which it is deleted; • Notarisations already recorded on the XRP Ledger remain permanently, owing to their immutable and public technical nature, as expressly accepted by the User under clause 4.

10. Fees and refunds

Access to certain services or plans on the Platform may be subject to payment of a fee, at the rates indicated from time to time. Pro-rata refund on suspension. Where a paid plan is suspended or terminated at the Company's initiative, the User is entitled to a refund of the residual portion of the fee already paid, calculated in proportion to the days remaining until the natural expiry of the plan.

11. Warranties and limitation of liability

The Platform is provided «as is». To the extent permitted by applicable law, the Company does not warrant that the service will be uninterrupted or error-free. Nothing in these Terms excludes or limits the Company's liability where it cannot be excluded or limited under applicable law, including mandatory consumer protections.

12. Governing law and jurisdiction

These Terms are governed by and construed in accordance with English law. Consumers resident in the European Union. For Users acting as consumers and resident in a Member State of the European Union, the application of English law does not deprive the User of the mandatory protections afforded by the law of their country of residence; such Users also benefit from any mandatory jurisdiction available in their favour. For Users resident in the United Kingdom and for Users resident outside the European Union, these Terms are subject to English law and to the exclusive jurisdiction of the English courts.

13. Changes to the Terms

The Company may amend these Terms to reflect changes in law, regulation or the services offered. Material changes are communicated to the User with reasonable notice. Continued use of the Platform after the changes take effect constitutes acceptance of them.
